1. Introduction

These Terms and Conditions (“Agreement”) govern your participation in the App Federation Affiliate & Partnership Program (the “Program”) operated by App Federation LLC (“we,” “our,” or “us”).

By joining the Program, you agree to comply with these Terms and all applicable laws. If you do not agree, you may not participate in the Program.

2. Definitions

• Platform: The App Federation ecosystem and all its mobile or web applications, dashboards, and promotional systems.

• Affiliate: Any approved individual or entity promoting App Federation apps through unique referral links or codes.

• Referral Link / Code: A unique tracking URL or promo code provided to each Affiliate.

• Net Revenue: Total revenue collected by App Federation after deductions for app store fees (Apple/Google), taxes, refunds, chargebacks, discounts, and third-party transaction costs.

• Lifetime Commission: A recurring revenue share from each user permanently attributed to an Affiliate.

3. Enrollment and Eligibility

• Participation requires approval by App Federation.

• We reserve the right to reject or terminate any Affiliate for inappropriate content, misleading claims, fraud, or inactivity.

• You must provide accurate personal and payment information at all times.

4. Tracking, Attribution & Lifetime Revenue

• Each user who installs or subscribes via your referral link or code is permanently associated with your account.

• You will receive lifetime commissions on all future qualifying purchases, renewals, or upgrades by that user.

• Attribution is based on our internal tracking systems. In case of conflicting referrals, we may apply a “last-click” or “promo code priority” model at our discretion.

• Offline or manual referrals may be credited upon verifiable proof, at our discretion.

5. Commission Structure

• Commission rates vary per app and are clearly listed in your Affiliate Dashboard.

• Rates are calculated on Net Revenue.

• Commission rates can be updated at any time for future transactions.

• Transactions subject to refunds, chargebacks, or fraudulent activity will be excluded or reversed.

6. Payments

• Frequency: Once per month.

• Period: Earnings from one calendar month are paid within 7 business days of the following month.

• Minimum Payout Threshold: $50 (or equivalent). Balances below this amount roll over.

• Method: Payments are made via the method you select (bank transfer, PayPal, Wise, etc.). Transfer fees may apply.

• Taxes: You are responsible for any applicable taxes. We may require a completed W-8/W-9 form before payment.

• Adjustments: Refunds or chargebacks may be deducted from future payments (“clawback”).

7. Acceptable Promotion Guidelines

Affiliates must comply with the following rules:

• Transparency: Always disclose affiliate relationships (e.g., “This post contains affiliate links”).

• Brand Use: Logos, names, and visuals may only be used as provided in official media kits.

• Paid Ads / PPC: You may not bid on our brand names or close variations (e.g., “App Federation discount”).

• Prohibited Content: No misleading, illegal, violent, adult, or hateful content.

• Spam Policy: Unsolicited emails, SMS, or social DMs are prohibited.

• Coupon Sites: Only share codes officially approved for public use.

• Self-Purchases: You cannot earn commissions on your own subscriptions or those made through fake accounts.

Violation of these policies may result in termination and forfeiture of unpaid commissions.

8. Intellectual Property

All apps, designs, trademarks, and materials are the exclusive property of App Federation LLC.

You are granted a limited, revocable, non-transferable license to use our brand assets solely for promotion within Program guidelines.

9. Data Protection

You must comply with applicable privacy and data protection laws (including GDPR, CCPA, and similar regulations).

Any data collected via your promotions must be used only for lawful and consented purposes.

Our general Privacy Policy applies to all data processed under this Agreement.

10. Term & Termination

• Either party may terminate this Agreement at any time, with or without cause, upon written notice.

• We may immediately suspend or terminate your account for suspected fraud, policy violations, or harm to our reputation.

• Upon termination, you will receive any earned but unpaid commissions (minus refunds or chargebacks) up to the termination date.

11. Liability Limitation

App Federation LLC shall not be liable for indirect, incidental, or consequential damages arising from participation in this Program.

Our total liability will never exceed the total commissions paid or payable to you within the previous 12 months.

12. Indemnification

You agree to indemnify and hold App Federation LLC harmless from any claims, damages, or expenses arising from your actions, content, or violation of this Agreement.

13. Amendments

We may modify these Terms at any time. Updates will be posted on our website or dashboard.

Continued participation in the Program after such updates constitutes acceptance of the revised Terms.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States.

Any disputes shall be resolved exclusively in the courts of Miami-Dade County, Florida.

15. Entire Agreement

This Agreement constitutes the entire understanding between you and App Federation LLC regarding the Affiliate Program.

If any clause is deemed invalid, the remainder shall remain enforceable.
